These Terms of Sale (“Terms”) govern all purchases from Eralo Labs (“Eralo Labs,” “we,” “us”). By creating an account or placing an order, you (“you,” the “Customer”) agree to these Terms, our Privacy Policy, and our Compliance Policy.
1. Eligibility and accounts
Eralo Labs sells only to licensed healthcare practitioners, licensed facilities, and verified businesses. You must complete account verification, including proof of a valid professional license and, where applicable, a resale or tax-exemption certificate. You must be at least 21 years old and authorized to bind your practice or business. We may approve, decline, suspend, or terminate accounts at our discretion. You are responsible for the security of your account credentials and for all activity under your account.
2. Products; research-use-only
All products are supplied for research and professional use only and are not for personal use or human or animal consumption except as lawfully administered by a licensed professional. Products are not evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease. See our Compliance Policy for full details.
3. Pricing and membership
- Public pricing is available to every verified account.
- Member pricing is available through the Trade Membership, a recurring subscription (currently $149/month). Member pricing applies only while a membership is active and ends when it lapses or is cancelled.
- Prices are exclusive of applicable taxes, shipping, customs, and handling unless stated otherwise. We may change prices at any time; the price in effect at order acceptance applies.
4. Orders and acceptance
Your order is an offer to purchase. No order is binding until we accept it. We may refuse or limit any order, require additional verification, or cancel an order at any time, including for suspected ineligibility, pricing errors, or stock limitations. Catalog availability is not a guarantee of supply.
5. Payment terms
Payment is due as shown at checkout. Approved accounts may be offered net terms (for example, Net 30). Late balances may incur interest and may result in suspension of terms or account access. You authorize us to charge your selected payment method for orders, membership fees, and applicable taxes.
6. Shipping, title, and risk of loss
Shipping is governed by our Shipping & Returns Policy. Unless otherwise agreed, title and risk of loss pass to you upon our delivery to the carrier. You are responsible for providing a compliant delivery destination and for lawful receipt of products.
7. Returns
Because products are temperature-sensitive and supplied for research and professional use, returns are limited and governed by our Shipping & Returns Policy. Report damaged, defective, or incorrect shipments promptly as described there.
8. Customer responsibilities and compliance
You represent that you hold all licenses and authorizations required for your activities and that your purchase and use of products is lawful in your jurisdiction and within your scope of practice. You agree not to resell or transfer products to ineligible parties or for unlawful purposes, and to comply with our Compliance Policy and all applicable laws.
9. Warranties and disclaimers
We warrant that products conform to their accompanying Certificate of Analysis at the time of shipment. Except as expressly stated, products are provided “as is,” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. You are solely responsible for determining suitability for your intended use.
10. Limitation of liability
To the maximum extent permitted by law, Eralo Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. Our total liability for any claim arising out of or relating to a product or order will not exceed the amount you paid for that product or order.
11. Indemnification
You agree to indemnify and hold harmless Eralo Labs and its officers, employees, and agents from any claims, damages, or expenses arising out of your purchase, handling, storage, resale, or use of products, or your breach of these Terms or applicable law.
12. Governing law and changes
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules. We may update these Terms from time to time; continued use after changes constitutes acceptance. Questions: wholesale@eralolabs.com.
